  1. Eligibility:  Nestle Essentia Hydrate To Win Big Promotion (“Promotion”) is open to legal residents of the 50 United States and District of Columbia who are 21 years of age or older (“Entrant”). Void where prohibited. No purchase necessary to enter the Promotion. Employees of Nestle USA Inc. (“Sponsor”), Brandmovers, Inc. (“Administrator”), Bullseye Events Group, and/or any of their respective affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production execution or distribution of the Promotion (collectively with Sponsor, the "Promotion Entities") and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children and their respective spouses, regardless of where they reside) and household members of each such employee, whether or not related, are not eligible to enter or win. The Promotion is subject to all applicable federal, state, and local laws and regulations. Participation constitutes entrant's full and unconditional agreement to these Official Rules and Sponsor's and Administrator’s decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein.
  2. Promotion Period:  The Promotion begins at 12:00:00 AM Eastern Time (“ET”) on November 1, 2023 and ends on at 11:59:59 AM ET on January 31, 2024 (the "Promotion Period"). The Promotion consists of an instant win game (“Instant Win Game”) which shall begin at 12:00:00 AM ET on November 1, 2023 and end at 11:59:59 PM ET on January 31, 2024 (“Instant Win Period”), and a Grand Prize random drawing Sweepstakes (the “Sweepstakes”) which shall begin at 12:00:00 AM ET on November 1, 2023 and end at 11:59:59 PM ET on December 31, 2023 (“Sweepstakes Period”).
  3. How to Enter the Sweepstakes. There are two ways to enter.
    1. To enter with purchase: Entrants must purchase any ESSENTIA® Multipack or any two (2) individual bottles in one transaction during the Sweepstakes Period (a “Qualifying Purchase”), then visit www.hydratetowinbig.com (“Website”) and follow the directions to complete and submit an official entry form, including uploading a photo of your receipt showing your Qualifying Purchase in a single transaction during the Promotion Period to receive one (1) entry in the Sweepstakes. Once the entry form and photo of your receipt showing your Qualifying Purchase is received and verified by Sponsor or Administrator, entrant will receive a Sweepstakes entry confirmation email. Limit of one (1) receipt photo upload per person per day. For purposes of this Promotion, “receipt” of an entry occurs when Sponsor/Administrator’s server records the entry information resulting from the entrant selecting the “SUBMIT” button. Automated entries (including but not limited to entries submitted using any robot, script, macro, or other automated service) are not permitted and will be disqualified. Photo of receipt may not exceed 5 MB and must be an image file (e.g. .jpg, .png, etc). In order to be valid, each receipt must show the store name, purchase date, product name and product price. Receipt uploads may take up to 72 hours to process.
    2. To enter without making a purchase: please handprint your full name, address, city, state and zip code, day and evening telephone numbers (including area codes), and e-mail address on a 3"x5" postcard and mail in a #10 sealed envelope with proper postage affixed to: Nestle Hydrate to Win Big Promotion, c/o Brandmovers, P.O. Box 93245 Atlanta, GA, 30377, to be postmarked by December 31, 2023 and received by January 7, 2024. No mechanical reproductions or stamped entries permitted. Promotion Entities are not responsible for lost, late, postage due, mutilated, stolen or damaged mailing of any entry request. Upon receipt of the mail-in entry, entrant will receive one (1) entry into the Sweepstakes. Limit one (1) entry per stamped, outer envelope, per person, per day. Confirmation of receipt of entry will be sent to entrants who enter via the mail-in method of entry.

      3. Limit one (1) entry per person per day, regardless of method of entry. For the purpose of mail-in entries, the “day” of entry will be deemed the date the entry is postmarked. Multiple entries received for any person in a given day will be void. Once submitted, an entry cannot be deleted, canceled, or modified. All entries become the property of the Sponsor. Sponsor reserves the right, in its sole discretion, to void any and all entries of an entrant who submits more than the one permitted entry, or who the Sponsor believes has attempted to tamper with, influence, or impair the administration, security, fairness, or proper play of this Sweepstakes.

      How to play the Instant Win Game – To play the Instant Win Game, eligible entrants can visit the Website during the Instant Win Period and follow the on-screen instructions on the Website to play. Once you play the Instant Win Game, you will immediately see a message appear on-screen. If you are not a winner, it will state that on the screen . You are an instant winner, if the screen says “Congratulations!” and indicates your prize, subject to verification of eligibility and compliance with these Official Rules. Each Instant Winner will be determined by a randomly populated time-stamp table of a pre-determined time each day throughout the Promotion Period. For purposes of this Promotion, a day shall begin at 12:00:00 AM ET and end at 11:59:59 PM ET each day during the Instant Win Period. All entries become the property of the Sponsor. Limit one (1) Instant Win Game play per person per day. Multiple game plays by any person in any day will void all but the first game play and any prize claim(s) associated with such game play(s).

      Instant Win Game Prize Claims: Each Instant Win prize winner will receive an email from Sponsor confirming their Instant Win prize. The email will contain the Instant Win prize description and instructions on how to verify they are eligible to receive their prize. Upon winner verification, each winner will receive their Instant Win prize via email or through the United States Postal Service (depending on the prize, as explained in the winner verification email). Allow 4-6 weeks for mailing of any prize.

  4. Sweepstakes Grand Prize Random Drawing:  Potential Grand Prize winners to be selected via a random drawing from among all eligible entries received during the Sweepstakes Period, to be conducted by Administrator, to occur on or about January 8, 2024. Potential Grand Prize winners will be notified by email on or about the day of the random drawing. The potential Grand Prize winners must respond to the Grand Prize winner notification email within 24 hours of time sent or will forfeit their right to the Grand Prize and the Grand Prize may then be awarded to an alternate winner, at Sponsor’s sole discretion, and time permitting. Potential Grand Prize winners will then be required to complete and return an Affidavit of Eligibility and Liability and Publicity Release (where legal) within 7 days of issuance, or Grand Prize will be forfeit (at Sponsor’s sole discretion). Potential Grand Prize winners will also be required to execute and return an IRS Form W-9 (and will receive a subsequent 1099 IRS Form for the actual retail value of the prize) along with a Winner Release and any other documentation that Sponsor may require and return it by the date specified by Sponsor in the notification, or prize may be forfeited in its entirety and another potential winner may be selected, time permitting. Grand Prize winners will be issued a 1099 for the actual value of the prize for the calendar in which the prize is awarded.

    THE POTENTIAL GRAND PRIZE WINNERS ARE SUBJECT TO VERIFICATION BY ADMINISTRATOR AND SPONSOR’S DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION.

  5. Odds:   Odds of winning a Grand Prize depend on the number of eligible entries received throughout the Sweepstakes Period. Odds of being an Instant Winner depend on the time of day the Instant Win game is played and the number of Instant Winner Prizes remaining available.
  6. PRIZES AND APPROXIMATE RETAIL VALUE (“ARV”):
    1. Sweepstakes Prizes: Four (4) Grand Prizes – A Big Game Celebration Trip for two (2) to Las Vegas, NV. Trip includes: two (2) round-trip coach-class airfare tickets from major airport nearest winner’s residence to Las Vegas, NV, departing on Friday, February 9, 2024 and returning Monday, February 12, 2024; hotel accommodations at Mandalay Bay, Las Vegas for three (3) consecutive nights (one standard room, double occupancy; room rate and room tax only) checking in on Friday, February 9, 2024 and checking out on February 12, 2024; two (2) Welcome reception tickets, (2) tickets to the Player’s Tailgate event on Sunday, February 11, 2024 in Las Vegas, NV; ground transportation for two (2) to/from Tailgate event; and a Gift Bag for winner and guest and $15,000 cash for the winner. Limit one (1) Instant Win Prize winner per person during the entire Promotion Period.

      3. Grand Prize Terms: Trip must be taken on the dates specified by Sponsor, or will be forfeited. Once made, all travel dates are final. All travel arrangements will be made by Sponsor through a carrier of Sponsor’s choice. Travel is subject to the terms and conditions set forth in this Sweepstakes, and those set forth by the Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. All expenses not specifically listed in these Official Rules (including but not limited to ground transportation to/from airport/hotel, meals, and gratuities) are sole responsibility of the Grand Prize Winner. The prize will be awarded only if the potential Grand Prize Winner fully complies with these Official Rules. Prize consists of only those items specifically listed as part of the prize. Winner’s guest must be at least 21 years of age and complete and return a liability and publicity release within the time period specified. Valid credit card and government identification required upon hotel check-in. Winner and guest must travel together on the same itinerary. Additional air carrier baggage charges are the responsibility of the traveling passenger. Any optional service fees including seat selection, meals, and drinks are not included and are the responsibility of the traveling passenger. In the event the Grand Prize winner resides within a 150 mile radius of Las Vegas, ground transportation will be provided in lieu of airfare, and in such case, any difference in the actual retail value and stated retail value will not be awarded. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value. Sponsor is not responsible if event is delayed, postponed or cancelled for any reason in which event that portion of prize is forfeited in its entirety, no substitution will be provided except as in Sponsor’s sole discretion, and winner will not be reimbursed for tickets. Seating (if any) to be determined in the sole discretion of Sponsor. Tickets may be subject to issuer’s standard rain-check policies and procedures. By accepting ticket prize, winner agrees to abide by any terms, conditions and restrictions provided by the ticket. Winner and guest agree to abide by all venue rules and regulations, including all COVID-19 protocols in effect at the venue at the time of the game. Failure to do so may result in forfeiture of the prize as determined by Sponsor. Each Grand Prize winner and guest fully understand that (a) the novel coronavirus SARS-CoV-2 and any resulting disease (together with any mutation, adaptation or variation thereof, “COVID-19”) is extremely contagious and there is an inherent risk of exposure to COVID-19 in any place where people are or have been present; (b) no precautions, including the protocols that may be implemented from time to time based upon public health and government-sponsored guidelines (collectively, the “Protocols”), can eliminate the risk of exposure to COVID-19; (c) while people of all ages and health conditions have been adversely affected by COVID-19, certain people have been identified by public health authorities as having greater risk based on age and/or underlying medical conditions; and (d) exposure to COVID-19 can result in being subject to quarantine requirements, illness, disability, other short-term and long-term health effects, and/or death, regardless of age or health condition.

      General Prize Conditions and Restrictions: Prizes are not transferable and may not be redeemed for cash value. All federal, state and local taxes on prizes are the sole responsibility of the winner. No cash redemptions. No substitutions of prize, except Sponsor may substitute a prize, or portion thereof, for one of equal or greater value at Sponsor’s sole discretion. Prizes are awarded “as is” with no warranty or guarantee, either express or implied. All prize details are at Sponsor’s sole discretion. The total ARV of all prizes for the Sweepstakes and Instant Win is $121,908.00. Limit one (1) Grand Prize and one (1) Instant Win Prize per person/household.

  7. Entry Conditions and Release:   By entering, each entrant agrees to release, indemnify, defend and hold harmless the Promotion Entities from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant's entry, creation of an entry or submission of an entry, participation in the Promotion, acceptance or use or misuse of prize (including any travel or activity-related thereto) and/or the broadcast, exploitation or use of entry.
  8. General Conditions:Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, for any reason whatsoever, including, without limitation, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction or if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. If the Promotion is terminated before the designated end date, Sponsor will (if possible) award the Grand Prizes and any unclaimed Instant Win Game prize in a random drawing from all eligible, non-suspect entries received for the Sweepstakes as of the date of the event giving rise to the termination or as otherwise deemed fair and appropriate by Sponsor. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. Entrant further agrees and acknowledges that Sponsor reserves the right to forfeit or award any unclaimed or leftover Prize at its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner and void all associated entries, game plays, and/or prizes claims. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Only the type and quantity of prizes described in these Official Rules will be awarded. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
  9. Limitations of Liability:   The Promotion Entities as set forth above are not responsible for: (1) for late, lost, jumbled, garbled, misdirected, delayed, incomplete, incorrect, or inaccurate entries, game plays, prize claims, email, mail, or other communications of any kind, whether caused by any of the equipment or programming associated with or utilized in this Promotion or by any human error; (2) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (3) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (4) unauthorized human intervention in any part of the entry process or the Promotion; (5) technical, network, mechanical, typographical, human or other error or problem which may occur in connection with the Promotion, including, but not limited to, errors or problems which may occur in the administration of the Promotion or the processing of entries, game plays or prize claims, the announcement of the prizes, or in any Promotion-related materials; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Promotion or receipt or use or misuse of any prize (including any travel or activity-related thereto). If for any reason an entry I or game play s confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another entry or game play in the Promotion, provided that the Promotion has not been terminated.
  10. Disputes/Governing Law:  Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Promotion, other than those concerning the administration of the Promotion or the determination of Winners or for any disputes arising from the loss or injury from the participation in a Prize, shall be resolved individually, without resort to any form of class action; (ii) any disputes arising out of these Official Rules (except for any disputes arising from the loss or injury from the use of Prizes) shall be submitted to final, binding arbitration conducted in the State of Virginia under the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services Inc. before a single, neutral arbitrator who is a former or retired Virginia state or federal court judge with experience in entertainment matters who shall follow Virginia law and the Federal Rules of Evidence and have no authority to award punitive damages. Either party may enforce a final arbitration award in any court of competent jurisdiction in the state of Virginia, including an award of costs, fees and expenses incurred in enforcing the award. Notwithstanding the foregoing, Released Parties shall be entitled to seek injunctive relief (unless otherwise precluded by any other provision of these Official Rules) in the state and federal courts of the state of Virginia. Any dispute or portion thereof, or any claim for a particular form of relief (not otherwise precluded by any other provision of these Official Rules), that may not be arbitrated pursuant to applicable state or federal law may be heard only in a court of competent jurisdiction in the state of Virginia; (iii) any and all claims, judgments and awards shall be limited to actual out-of- pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (iv) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out- of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Virginia, without giving effect to any choice of law or conflict of law rules (whether of the State of Virginia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Virginia.
  11. Data Collection: Information collected from entrants in connection with the Promotion shall be used in accordance with Sponsor’s privacy policy, available at https://www.nestleusa.com/privacy.
